Q:

1- As a contractor and/or software service provider, we did provide service to US based company from 2014 until Jan 2018. 2- For the services until Jan 2018, there is a pending amount that to be paid by client. 3- Starting Feb 2018, we agreed for 50-50 partnership. 4- Dec 2018 partner(earlier client) decides to quit starting Jan 2019 and purse his own venture. 5- As of Dec 2018, whatever fund left, we need to divide and take 50-50. 6- Future, earning when comes, will be divided 50-50. 7- Partner (Earlier Client) agrees to keep the domain, brand, social media. We both have permission to keep and use the code as it was until Dec 2018. Both parties are free to do any business, and use to code on their wish. NOTE: All the partnership what we mutually agreed is not on paper. We mutually agreed, when the time comes, i become legal partner. For not, lets leave legal formalities. 8- Partner (old client) has to pay the debt that is there before Jan 2018. I am continue to develop the product and want to launch. I want to be full protected in such a way that in coming years, partner (old client) should not be in position to claim anything that i am doing. Client is registered in Georgia US and i am registered in Bangalore India. We are startup. I want someone to analyse the entire case and form the legal documents that we both sign to protect the future.
